1. Agreement to Terms

By accessing and using Heasy ("App", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this App.

2. Use License

Permission is granted to temporarily download one copy of Heasy for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the App materials
• Use the materials for any commercial purpose or public display
• Attempt to decompile or reverse engineer any software contained in the App
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

3. User Accounts

Account Creation

• You must be at least 18 years old to create an account
• You must provide accurate and complete information
• You are responsible for maintaining the confidentiality of your account
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use

Account Types

Home Buyer Accounts: For individuals searching for residential properties

Real Estate Agent Accounts: For licensed real estate professionals. You represent and warrant that you hold valid real estate licenses in the states you serve.

4. User Conduct

You agree not to:

• Use the App for any unlawful purpose
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Upload or transmit viruses or malicious code
• Spam or send unsolicited messages
• Collect or store personal data about other users
• Interfere with or disrupt the App's functionality
• Attempt to gain unauthorized access to any portion of the App
• Post false, misleading, or fraudulent content
• Violate any applicable laws or regulations

5. Property Listings

Disclaimer

Property listings are provided by third-party sources including Multiple Listing Services (MLS), real estate agents, and brokers. Heasy:

• Does not verify the accuracy of property information
• Is not responsible for errors or omissions in listings
• Does not guarantee property availability
• Is not a party to any real estate transactions

User Responsibility

Users must independently verify all property information before making any decisions. Heasy is a platform for connecting buyers and agents, not a real estate brokerage.

6. Communication Features

The App provides messaging features to facilitate communication between buyers and agents. You agree that:

• Messages are for legitimate real estate inquiries only
• We may monitor communications for safety and quality purposes
• We reserve the right to remove inappropriate content
• You will not use messaging for spam or solicitation

7. Intellectual Property

The App and its original content, features, and functionality are owned by Heasy and are protected by international copyright, trademark, and other intellectual property laws.

Our logo, name, and all related names, logos, product and service names, designs, and slogans are trademarks of Heasy. You must not use such marks without our prior written permission.

8. Limitation of Liability

In no event shall Heasy, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the App
• Any conduct or content of any third party on the App
• Any content obtained from the App
• Unauthorized access, use, or alteration of your transmissions or content
• Real estate transactions conducted through connections made on the App

9. Disclaimer of Warranties

The App is provided on an "AS IS" and "AS AVAILABLE" basis. Heasy makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

10. Real Estate Agent Responsibilities

If you are a real estate agent using the App, you represent and warrant that:

• You hold valid real estate licenses in all states where you operate
• You will comply with all applicable real estate laws and regulations
• You will not misrepresent properties or make false claims
• You will handle all transactions in accordance with professional standards
• You are responsible for your own compliance with NAR rules and state regulations

11. Termination

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App or contact us to request account deletion.

12. Indemnification

You agree to defend, indemnify, and hold harmless Heasy and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

• Your use of and access to the App
• Your violation of any term of these Terms
• Your violation of any third-party right
• Any claim that your content caused damage to a third party

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our App after any revisions become effective, you agree to be bound by the revised terms.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

17. Entire Agreement

These Terms constitute the entire agreement between us regarding our App and supersede and replace any prior agreements we might have had between us regarding the App.
